A real estate counter offer is generated by a home seller after a buyer has submitted an offer to purchase and the offer includes terms that aren't agreeable. Typically, a counteroffer states that the seller has accepted the buyer's offer subject to one or more changes. Counteroffers typically address things like changing the total consideration to be paid for the property to a higher price or increasing the size of the earnest money deposit. The seller might refuse to pay for certain reports or fees. Changing the closing or possession date is another common reason for a counteroffer, as is excluding or adding personal property from the contract. The seller might want to modify contingency time frames or have deposits released early.

A counter offer will just about always touch on three main overarching factors: price, convenience and timing. That first instance indicates a lack of willingness to negotiate on price—but the second case is a green light for negotiations. At that point, a buyer can either go with the proposed price or counter with another that is more acceptable to them. For example, if the original offer specified a closing date 45 days from acceptance and the seller needs more time to vacate the home, they may present a counter proposing a longer escrow period to allow them the time to make their move. From there, the buyer can either accept or refuse.

An intricate dance begins when it comes to the give-and-take of negotiations involving home purchases. In fact, initial purchase offers made on homes are usually looked at by sellers as the start of the offer-counteroffer game. When sellers counteroffer in home sales, buyers are given at least a few days to decide whether to accept, reject or counteroffer back.
